Non-Disclosure Agreement (NDA)
Recitals:
A. Niyatt – Wedding Hall and Hotel, hereinafter referred to as the “Disclosing Party,” possesses confidential information related to its business idea and concept, including but not limited to its proprietary business model, strategies, market research, and other innovative concepts.
B. The Recipient Party desires to receive certain confidential information from Niyatt – Wedding Hall and Hotel for the purpose of evaluating potential investment opportunities.
C. Both parties wish to ensure the protection of the business idea and concept of Niyatt – Wedding Hall and Hotel from unauthorized disclosure or use.
Agreement:
1. Confidential Information: The term “Confidential Information” shall refer to any and all information disclosed by Niyatt – Wedding Hall and Hotel to the Recipient Party, whether orally, visually, or in writing, including but not limited to business plans, market research, innovative concepts, strategies, and any other information deemed confidential by Niyatt – Wedding Hall and Hotel.
2. Non-Disclosure Obligation: The Recipient Party agrees to maintain the confidentiality of all Confidential Information disclosed by Niyatt – Wedding Hall and Hotel and shall not disclose, directly or indirectly, any Confidential Information to any third party without the prior written consent of Niyatt – Wedding Hall and Hotel.
3. Use of Confidential Information: The Recipient Party agrees to use the Confidential Information solely for the purpose of evaluating the potential of the business idea and concept of Niyatt – Wedding Hall and Hotel and shall not use the Confidential Information for any other purpose without the prior written consent of Niyatt – Wedding Hall and Hotel.
4. Standard of Care: The Recipient Party shall exercise reasonable care to protect the Confidential Information from unauthorised disclosure or use, employing at least the same degree of care as it uses to protect its own confidential information of a similar nature.
5. Exceptions: The obligations of confidentiality set forth in this Agreement shall not apply to any information that: (a) is or becomes publicly available through no fault of the Recipient Party; (b) was rightfully in the possession of the Recipient Party prior to its disclosure by Niyatt – Wedding Hall and Hotel; (c) is independently developed by the Recipient Party without reference to the Confidential Information; or (d) is rightfully obtained by the Recipient Party from a third party without restriction on disclosure.
6. Term: This Agreement shall remain in effect for a period of [Number] years from the date of its execution, unless terminated earlier by mutual written agreement of both parties.
7. Return of Information: Upon the request of Niyatt – Wedding Hall and Hotel or upon termination of this Agreement, the Recipient Party shall promptly return or destroy all Confidential Information and any copies thereof, and provide written certification of such destruction.
8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
